By creating an account, clicking "Accept and continue," or otherwise using the Services, you agree to these Terms and acknowledge our Privacy Policy. If you do not agree, do not use the Services.

1. WHO THESE TERMS APPLY TO
The Services are provided to businesses, such as automotive dealerships and copy and printer dealers (each a "Customer"), for training their sales staff. These Terms apply to:
- Customers, meaning the organization that subscribes to the Services, and
- Users, meaning each individual (such as a sales representative, manager, or administrator) who is given an account by or through a Customer.
If you use the Services on behalf of a Customer, you confirm that you are authorized to accept these Terms for that Customer. If a Customer has signed a separate written agreement or order form with us, that agreement controls if it conflicts with these Terms.
You must be at least 18 years old to use the Services.
2. THE SERVICES
SalesCoach365 is an AI-powered sales training tool. Users practice sales conversations with an AI-simulated buyer in text or voice roleplay scenarios and receive automatic scores and feedback. Managers can review their team's sessions, leave comments, assign scenarios, and create scenarios for their organization.
The Services are for training and practice only. Scenarios are fictional, and the Services do not coach live customer calls or analyze real customer conversations.
3. ACCOUNTS AND ACCESS
- Account creation. Accounts are created for Users by SalesCoach365 at a Customer's request. We assign each account to a Customer organization and a role (for example, sales representative or manager).
- Your credentials. You are responsible for keeping your password confidential and for all activity under your account. Accounts are for one person only; do not share your login. The app allows one active sign-in per account and may sign you out after a period of inactivity.
- Accurate information. You agree to provide accurate information and to tell us or your organization's administrator if it changes.
- Security issues. Tell us promptly at [email protected] if you believe your account has been accessed without permission.
4. YOUR ORGANIZATION'S ROLE
If your account was created for a Customer, that Customer controls the account. This means:
- Managers in your organization can see your practice sessions, including transcripts, scores, feedback, progress, and voice recordings, and can comment on your sessions and assign scenarios to you.
- Your organization may ask us to create, change, deactivate, or delete your account.
- If your organization's subscription ends, your access ends too.
How your organization uses information about your training is between you and your organization. See our Privacy Policy for how we handle that information.
5. ACCEPTABLE USE
You agree not to:
- Enter or say real customer personal information, financial or financing details, health information, or other confidential information in practice sessions or scenarios. Practice scenarios are meant to be fictional.
- Use the Services for any unlawful, harassing, abusive, or discriminatory purpose, or create scenarios containing such content.
- Share your account, let others use it, or access another person's account.
- Try to gain unauthorized access to the Services, other Customers' data, or our systems, or interfere with the Services' security or operation.
- Copy, scrape, resell, sublicense, or make the Services available to anyone outside your organization, except as we allow in writing.
- Reverse engineer, decompile, or attempt to extract the source code, prompts, or models behind the Services, except where the law allows this despite this restriction.
- Use the Services, or any output from them, to build a competing product.
- Attempt to make the AI produce harmful, unlawful, or abusive content, or use automated means to send large volumes of requests.
We may investigate suspected violations and suspend or remove access as described in Section 15.
6. PRACTICE SESSIONS, VOICE RECORDINGS, AND AI
- AI-generated content. Roleplay responses, scores, and feedback are generated by AI models operated by Google. AI output can be inaccurate, incomplete, or inappropriate. It is provided for training purposes only and is not legal, financial, compliance, or professional advice. Use your own judgment before relying on any output with a real customer.
- Voice mode. Voice mode is optional and requires your permission to use your microphone. Voice sessions are recorded, both your voice and the AI character's, and saved to your performance review, where you and your manager can listen to them. Recordings are deleted automatically 90 days after they are created. You agree not to use voice mode in a way that records other people without their consent.
- Scores are not employment decisions. Scores and feedback are training aids. Any decision your organization makes about your employment is its own, and SalesCoach365 is not responsible for it.
7. FEES, BILLING, AND CANCELLATION
This section applies to Customers.
- Fees. Customers pay the subscription fees agreed with us in writing, such as in an order form or invoice. Our published pricing starts at $250 per month, and there are no setup fees.
- Invoicing and payment. We invoice Customers monthly. Invoices are due within 30 days. We do not currently accept payment cards through the Services.
- Taxes. Fees do not include taxes, which Customers are responsible for, other than taxes on our income.
- Late payment. If an invoice is more than 15 days overdue, we may suspend access after giving notice.
- Cancellation. Customers can cancel at any time by emailing [email protected]. Cancellation takes effect at the end of the current billing period, and fees already paid are not refunded, except where required by law.
- Price changes. We may change our fees by giving Customers at least 30 days' notice before the change applies to them.
8. CUSTOMER CONTENT
"Customer Content" means information you or your organization provide to the Services, including account details, messages, voice audio and recordings, transcripts, comments, and scenarios your organization creates.
- Ownership. As between you and us, the Customer owns its Customer Content.
- License to us. You grant us a non-exclusive, worldwide license to host, store, process, transmit, and display Customer Content only as needed to provide, secure, support, and improve the Services, and as described in our Privacy Policy. This includes sending it to our service providers, such as our AI provider, to run the Services.
- No AI training on your content. We do not use Customer Content to train AI models.
- Your responsibility. You are responsible for your Customer Content and confirm that you have the rights needed to provide it and that it does not violate these Terms or the law.
- Scores and results. Scores, feedback, and other results generated for you are part of your organization's Customer Content, and we may use them only as described above.
- Deletion. After a Customer's subscription ends, we delete its account and practice session information as described in our Privacy Policy, currently no later than 90 days after termination. Voice recordings are deleted 90 days after they are created.
9. OUR INTELLECTUAL PROPERTY
We own the Services, including the software, design, built-in scenarios, prompts, scoring methods, and all related intellectual property. Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Services for your organization's internal training during the subscription. We reserve all rights not expressly granted.
The SalesCoach365 name and logo are our trademarks. You may not use them without our permission.
10. FEEDBACK
If you send us suggestions or ideas about the Services, we may use them without restriction or compensation to you.
11. THIRD-PARTY SERVICES
The Services rely on third-party providers, including Google (AI models, database, storage, and authentication), Vercel (hosting), Cloudflare (network and DNS), and PostHog (product analytics and error tracking), as listed in our Privacy Policy. We are not responsible for outages or changes caused by third-party providers, but we will take reasonable steps to limit their effect on the Services. Links to third-party websites are provided for convenience, and we are not responsible for their content.
12. DISCLAIMERS
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, THAT AI-GENERATED CONTENT WILL BE ACCURATE, OR THAT USING THE SERVICES WILL PRODUCE ANY PARTICULAR SALES RESULT.
13. LIMITATION OF LIABILITY
TO THE FULLEST EXTENT PERMITTED BY LAW:
- WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, SALES, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF THOSE DAMAGES.
- OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE AMOUNT THE CUSTOMER PAID US FOR THE SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM
Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
14. INDEMNIFICATION
Customers will defend and indemnify SalesCoach365 against claims by third parties arising from the Customer's or its Users' Customer Content or violation of these Terms or the law, and will pay resulting damages, costs, and reasonable attorneys' fees.
15. SUSPENSION AND TERMINATION
- By you. Users can stop using the Services at any time. Customers can cancel as described in Section 7.
- By us. We may suspend or end access to the Services, with notice where reasonable, if you or your organization violate these Terms, fail to pay, create a security risk, or if required by law. We may also discontinue the Services with at least 30 days' notice to Customers, and will refund any prepaid fees for the period after discontinuation.
- Effect. When access ends, your right to use the Services ends, and Customer Content is deleted as described in Section 8 and our Privacy Policy. Sections 8 through 14, 17, and 18 continue to apply after termination.
16. CHANGES TO THE SERVICES AND THESE TERMS
We may improve, change, or remove features of the Services over time. We may update these Terms from time to time. If we make material changes, we will update the "Last updated" date and ask you to review and accept the updated Terms in the app before you continue using the Services. If you do not agree to updated Terms, stop using the Services.
17. GOVERNING LAW AND DISPUTES
These Terms are governed by the laws of the State of Illinois without regard to its conflict-of-laws rules. Any dispute arising out of or related to these Terms or the Services will be resolved exclusively in the state or federal courts located in Coles County, Illinois and each party consents to those courts' jurisdiction.
Before filing a claim, each party agrees to try to resolve the dispute informally by contacting the other and allowing at least 30 days for a resolution.
18. GENERAL TERMS
- Entire agreement. These Terms, our Privacy Policy, and any written agreement or order form with a Customer are the entire agreement about the Services.
- Assignment. You may not transfer these Terms without our written consent. We may transfer them in connection with a merger, acquisition, or sale of assets.
- Severability. If any provision is found unenforceable, the rest remains in effect.
- No waiver. Our failure to enforce a provision is not a waiver of it.
- Force majeure. Neither party is responsible for delays or failures caused by events beyond its reasonable control, other than payment obligations.
- Notices. We may send notices to the email address associated with your account or your organization's billing contact. You can send notices to us at the addresses in Section 19.
- Relationship. The parties are independent contractors.
